The HTX Platform (hereinafter referred to as the “Platform”, “HTX”, “we” or “us”) allows users (hereinafter referred to as “the Users” or “Investor” or “you”) to access the Managed Trading Sub-Account feature (the “Service” or “Feature”). The Feature is designed to meet investors' asset management needs by allowing users to entrust their funds to a designated trader (“Trader”) whereby the Trader acts as an agent on behalf of you. HTX solely acts as a platform to enable the engagement and performance of the engagement between you and the Trader. HTX is not involved in or engaged with any agreement with or in resolving disputes between you and Trader. For the avoidance of doubt, HTX does not enter into any relationship with you or your Trader arising from this Feature.

In using this Service, you are responsible for exercising your own judgment and determining whether it is suitable for your needs. When entering into an agreement with a Trader, it is your responsibility to independently assess the safety, reliability, authenticity, and trading abilities, among other capabilities, of the Trader. HTX does not conduct any vetting or background checks on the Trader. The information provided by the Trader should not be construed as investment advice. The Trader does not act as a financial advisor and does not provide personalized financial advice tailored to your specific needs. Subject to any other agreements that may be entered into between the Trader and you directly, the Trader will not otherwise be held liable for any losses incurred in the Sub-Account, including but not limited to losses resulting from market conditions, trading strategies or unforeseen events. In such event(s), you agree to hold the Trader harmless from any claims, losses or damages.

You acknowledge that trading in the markets involves significant risk. Past performance is not indicative of future results, and there is no guarantee that the Managed Sub-Account will achieve any particular level of performance or that you will not incur losses. You understand that investing and trading involves a substantial risk of loss. You may lose some or all of the funds in your Sub-Account(s), and you should only invest capital that you are willing and able to lose.

You grant the Trader authority to make investment decisions on behalf of your Sub-Account without prior consultation or approval. You understand that this includes the authority to buy, sell or otherwise manage the assets within the Sub-Account as deemed appropriate by the Trader.

You understand and acknowledge that HTX is not responsible for the operation or results of the Feature. You understand that HTX cannot guarantee that the Services are free of defects. Hence, you agree that any failures in software, hardware, internet connection, any distortion and delays arising therefrom and any other potential defects in the Services provided by HTX do not constitute any breach of contract or duties by HTX. Where necessary, you agree to cooperate with HTX in resolving any such defects or issues. The Feature enables you to grant full or partial operational authority over your account or sub-account to one or more accounts of your Trader. Under such circumstances, any actions carried out under the authorized account(s) will be considered as your own actions conducted through your account, and you will assume all responsibilities and fees arising therefrom.

HTX does not guarantee full compatibility with all software and hardware systems, nor accuracy of its software and services. In the event of incompatibility and software errors, you should immediately disable or discontinue the use of the relevant features and contact HTX for technical support.

You acknowledge that the Platform used to execute trades is not involved in the management of the Sub-Account. The Platform only provides the technical infrastructure for trading activities and does not participate in or influence the investment decisions made by the Trader. The Platform is not responsible for any outcomes, losses, or gains resulting from the trades executed in the Sub-Account. The HTX platform makes no representation or warranty regarding the availability, reliability, or suitability of the Feature.

You understand and acknowledge that HTX shall not be held liable for any issues that may arise during the use of any part of the Services including the engagement of the Trader and any trading conducted therefrom, including, but not limited to, any indirect, incidental, special, or consequential damages (including, but not limited to, loss of profits), or any trading disputes arising from the use of the Feature.

You understand and acknowledge that, to the maximum extent permitted by law, HTX is not liable for any consequential, incidental, indirect, exemplary, special, or punitive damages, whether for breach of contract by the parties (you and the Trader), or otherwise, regardless of whether such damages are foreseeable and whether or not you have been informed of the possibility of such damages. It is advised to always do your own research before the use of the Services or the engagement of your desired Trader.

You understand that the trading activities in the Sub-Account are subject to applicable laws, regulations and market rules. You agree to comply with all relevant laws and to provide any necessary documentation or information as may be required.

HTX reserves the right to modify or update the rules of the Feature at any time and may suspend the service at any time if necessary. By continuing to use the Feature and the HTX Platform, you agree to comply with and accept the latest HTX rules, agreements, disclaimers and terms of use.

The disclaimer may be translated into multiple languages. In case of discrepancies, the English version shall prevail.
